Prepayment
The client will receive an invoice for 50% of the new company incorporation cost at the time of placing the order. They will also be invoiced in full for any additional services (for example a company address seat, local director services, assistance with opening a bank account, annual accounting, etc). Documents you will need to prepare
We need the following documents from natural persons (or foreign entity shareholders) who are establishing the company:
- A notarized copy of your passport
- A signed power of attorney
- Proof of residential address (if a local director is not appointed)
If you are establishing the company as a foreign entity, we will additionally require:
- Incorporation documents from the foreign entity
- Documents indicating the board members and shareholders, notarized and translated into English by a sworn translator
- Articles of Association, notarized and translated into English by a sworn translator from the foreign company, which will be the new company establishing corporation

Local Director
Regulations for Swiss and Liechtenstein companies
To establish a company in Switzerland or Liechtenstein your organization must appoint at least one director who resides locally.
If you are not presently a neutral country resident, you can establish and operate a company in Switzerland or Liechtenstein, using one of the 2 options below:
Option 1.
You, or a person appointed by you, becomes an acting director (Verwaltungsrat) and your company must hire a local director to hold the seat (with no acting director rights).
Our office has professional appointed director(s) with local residence, to take the official seat in your company. For this, we charge an annual fee, fixed according to our price list. Option 1 allows registration of your company even though you are not present in the country.

Option 2.
A second, but less common option, is to change your official and tax residence to a neutral country.
Our attorney’s office can help you with the necessary local tax registration, working contract preparation and registration for social and health insurance or visa application. With option 2, you may not register your company unless you are present in the country.

Austrian company regulations
You do not need to be resident in Austria to establish a company in this jurisdiction. However, at least one of your directors must be resident in Austria for a period of six months or longer to open a bank account in Austria. Our clients sometimes use our locally appointed director for a period of one year if this is the case.

Notary appointment for the Basic Capital of your New company
Prior to the establishment of the company, we will organize notarial services to accept the company’s minimum basic capital, required for company incorporation. After the new company incorporation, we will transfer the basic capital from notary’s escrow account to the new company’s bank account.

The establishment of your new company
It takes 5 - 10 working days to establish a company through the regional court. After company incorporation, you will receive an invoice of 50% for the remaining legal fees.

Company bank account
If your company has an official company address in a neutral country, we can help you to open a company’s bank account at the bank of your choice, or we can recommend a bank. It is also possible to open a bank account remotely without being present.
